Terms of Service

1. Agreement to Terms

By accessing or using Dwellcount ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you do not have permission to access the Service.

2. Description of Service

Dwellcount provides AI development analytics tools including but not limited to: token usage tracking, cost analytics, rule deviation monitoring, and productivity metrics for AI-assisted development workflows. The Service is delivered through a Model Context Protocol (MCP) server and a web-based dashboard.

3. Subscription and Billing

3.1 Free Trial. New users receive a 14-day free trial with full access to Pro features. A valid payment method is required to start the trial. You will not be charged during the trial period unless you choose to upgrade.

3.2 Per-Seat Pricing. Subscriptions are billed per developer seat. Each developer using the MCP server requires their own seat. Sharing API keys or credentials across multiple developers is prohibited.

3.3 Billing Cycle. Subscriptions are billed monthly or annually in advance. Prices are in USD. You authorize us to charge your payment method at the beginning of each billing cycle.

3.4 Refunds. Subscriptions are non-refundable except as required by law. You may cancel at any time, and your subscription will remain active until the end of the current billing period.

4. Acceptable Use

You agree not to:

  • Share your API key with unauthorized users
  • Use the Service to violate any laws or regulations
  • Attempt to reverse engineer, decompile, or disassemble the Service
  • Use the Service to transmit malware or malicious code
  • Interfere with or disrupt the integrity of the Service
  • Exceed reasonable usage limits or abuse the API

5. Data and Privacy

5.1 Data Collection. The Service collects development metrics including token usage, tool calls, code changes, and timing data. We do not collect or store your source code content.

5.2 Data Ownership. You retain ownership of your data. We process your data solely to provide the Service.

5.3 Data Security. We implement industry-standard security measures to protect your data. API keys are encrypted and stored securely.

6. API Keys and Authentication

6.1 Confidentiality. Your API key is confidential. You are responsible for all activity under your API key.

6.2 Revocation. We may revoke API keys that are shared, abused, or used in violation of these Terms.

6.3 Regeneration. You may regenerate your API key at any time. Regenerating invalidates the previous key.

7. Intellectual Property

The Service, including its original content, features, and functionality, is owned by Dwellcount and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DWELLCOUNT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY. OUR TOTAL LIABILITY FOR ANY CLAIMS UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10. Termination

We may terminate or suspend your access immediately, without prior notice, for any breach of these Terms. Upon termination, your right to use the Service ceases immediately. You may export your data before termination through the dashboard.

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through the Service. Your continued use after changes constitutes acceptance of the new Terms.

12. Governing Law

These Terms shall be governed by the laws of Denmark, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Denmark.
